Yunanistan Sermaye Piyasası Kurulu, çarşamba günkü toplantısında Capital Maritime Finance Corp.'un halka arz başvurusunu ve hisselerinin Euronext Atina borsasında kotasyon için hazırlanan izahnamesini onayladı.

Resmi duyuruya göre kurul, "CAPITAL MARITIME FINANCE CORP." adlı şirketin, mevcut hissedarlara öncelikli satın alma hakkı tanınmaksızın, nakit karşılığında Yunanistan'da 42 milyona kadar yeni nama yazılı hisseyi halka arz etmesine ilişkin izahname içeriğini onayladı. Şirketin tüm hisseleri, Euronext Atina Düzenli Piyasa'sının Ana Pazarı'nda birincil kotasyonla işlem görmek üzere listelenecek.

Halka arz 13 Ekim'de başlayacak ve 15 Ekim'de sona erecek. Hisselerin Euronext Atina'da işlem görmeye başlaması ise 20 Ekim olarak planlanıyor.

Halka arzın koordinatörleri ve ana yüklenicileri Piraeus Bank, Euroxx Securities, Eurobank ile Ulusal Yunanistan Bankası oldu. Teklifin başlıca yüklenicileri Optima Bank ve Credia Bank olurken, yükleniciler Ambrosia Capital ile CrediaPantelakis Securities, ihrac danışmanları ise Piraeus Bank, Euroxx Securities ve Eurobank olarak belirlendi.

Yeni hisselerin dağıtımı

42 milyona kadar yeni hisseli halka arz, nitelikli yatırımcılar ve bireysel yatırımcılar olmak üzere iki kategoriye ayrılan tüm yatırım camiasına yöneliyor. En yüksek teklif fiyatından yaklaşık 250,0 milyon euro tutarında kaynak hedefi tutturulursa, toplam 31.887.755 yeni hisse ihraç edilecek.

Ayrıca Çapa Yatırımcılar (Cornerstone Investors), Çapa Yatırımcı Sözleşmeleri kapsamında 70,0 milyon euroluk taahhüt verdi. Bu tutar, en yüksek teklif fiyatına göre 8.928.570 yeni hisseye karşılık geliyor.

Halka arzın tamamlanmasının ve teklif fiyatının, şirketin sağladığı nihai sermaye tutarının belirlenmesinin ardından, yeni hisselerin Çapa Yatırımcılara öncelikli dağıtımı yapılıp koordinatörler ve ana yükleniciler kalan hisseleri yatırımcılara şu şekilde dağıtacak:

(a) yeni hisselerin en az yüzde 30'u, yani en az 6.887.755 yeni hisse, bireysel yatırımcıların taleplerini karşılamaya ayrılacak;

(b) yeni hisselerin en fazla yüzde 70'i, yani en fazla 16.071.430 yeni hisse, her iki yatırımcı kategorisinin gösterdiği toplam talebe göre nitelikli yatırımcılar ile bireysel yatırımcılar arasında dağıtılacak. Çapa hisseleri hariç tutulduğunda, yeni hisselerin yüzde 30'luk kısmı için bireysel yatırımcı talepleri karşılandıktan sonra, her kategori için nihai dağıtım yüzdesi belirlenirken şu unsurlar dikkate alınacak:

nitelikli yatırımcılardan gelen talep;

çapa hisseleri hariç yüzde 30'u aşan bireysel yatırımcı talebi;

bireysel yatırımcıların sunduğu talep başvurularının sayısı; ve

yeterli halka açıklık oranının sağlanması ihtiyacı.

Sermaye artırımıyla ilgili toplam giderler, hisse başına 7,84 euroluk en yüksek teklif fiyatına ve şirketin artırım yoluyla 250,0 milyon euro kaynak sağladığı varsayımına dayanarak yaklaşık 10,717 milyon euro olarak tahmin ediliyor.

Capital Maritime Finance'in profili

3,9 milyar dolarlık sözleşmeli gelir

CMF'in yatırım profilinin temel özelliklerinden biri, filonun uzun süreli kiralamalarla olağanüstü yüksek oranda kapsanması. Filonun mevcut kapasitesinin yüzde 100'ü zaten kiralanmış durumda; bu da 2034 yılına kadar mevcut günlerin tamamının kapsanmasını garantiliyor.

Marinakis's Shipping Company Will Join the Athens Stock Exchange

Greece's Capital Market Commission approved a share sale on Wednesday. The company is Capital Maritime Finance Corp. It will sell new shares to the public. Later, all its shares will trade on Euronext Athens. The sale will start on 13 October and end on 15 October. Trading is going to start on 20 October.

The company wants to raise 250 million euros. It will use the money to build ships and run the business. The highest offer price is 7.84 euros a share. Some key investors have already promised 70 million euros. At least 30 percent of the new shares are for private investors.

It is the first shipping share sale of its kind in Greece. The company will have 36 container ships. Right now, 13 ships are in service and 23 are being built. Capital Maritime Finance Gets Approval to List in Athens

Greece's Capital Market Commission has approved a public offer by Capital Maritime Finance Corp. The company wants to list its shares on Euronext Athens. It will offer up to 42 million new shares in Greece for cash. The offer will start on 13 October and end on 15 October. Trading is planned to begin on 20 October.

The company hopes to raise about 250 million euros. At the highest offer price of 7.84 euros per share, 31,887,755 new shares will be issued. Cornerstone investors have also promised 70 million euros. At least 30 percent of the new shares will be kept for retail investors.

This is the first shipping IPO in Greece that lists all of a company's shares only on Euronext Athens. The company is controlled by firms linked to Evangelos Marinakis. It will use the money for its shipbuilding programme and its working capital needs. It already has multi-year contracts with strong customers, so its income is easier to predict.

The fleet will have 36 container ships when all the ships are delivered. Thirteen ships are already working, and 23 are being built. All of the current capacity has already been rented. Total contracted revenue is 3.9 billion dollars, as of 30 September 2026. The company also plans to pay dividends, which should start in the first quarter of 2027.

Marinakis-linked shipping company wins approval for Athens listing

Greece's Capital Market Commission approved the public offering of Capital Maritime Finance Corp. at its Wednesday meeting. According to the official announcement, up to 42 million new registered shares will be offered for cash in Greece, without pre-emption rights for existing shareholders. All of the company's shares will be listed for trading on the Main Market of the Euronext Athens Regulated Market.

The offering will open on 13 October and close on 15 October, and trading on Euronext Athens is planned to begin on 20 October. Piraeus Bank, Euroxx Securities, Eurobank and National Bank of Greece acted as coordinators and lead underwriters of the offering.

If the company raises about €250.0 million at the highest offer price, a total of 31,887,755 new shares will be issued. Cornerstone investors have also committed €70.0 million, which corresponds to 8,928,570 new shares at that price.

CMF, which is controlled by companies linked to Evangelos Marinakis, is carrying out Greece's first maritime IPO. All of a shipping company's shares will be listed exclusively on Euronext Athens. The money raised is expected to fund the company's shipbuilding programme and working capital needs. Its fleet will include 36 container ships once all vessels are delivered, with 13 already in service and 23 under construction. All of the fleet's current capacity has already been chartered, which covers every available day until 2034. As of 30 September 2026, total contracted revenue stands at $3.9 billion, and the average remaining charter period is 9.4 years.

The capital expenditure programme up to 2028 comes to $1.8 billion, of which $1.6 billion had already been covered by bank financing by 30 June 2026. Management plans to pay quarterly dividends based on adjusted net profit, which are expected to begin in the first quarter of 2027. Capital Maritime Group currently controls 179 vessels, including ships under construction. Through two listed companies with a combined market value of over $4 billion, it is also present on the New York, Oslo and Athens exchanges.

Greece's Capital Market Commission has approved the public offering of Capital Maritime Finance Corp., together with the prospectus prepared for listing its shares on Euronext Athens. According to the official announcement, the company may offer up to 42 million new registered shares in Greece for cash, without pre-emptive rights being granted to existing shareholders. The offering is scheduled to open on 13 October and close on 15 October, whereas trading in the shares is expected to begin on 20 October.

Should the maximum offer price raise roughly €250.0 million, a total of 31,887,755 new shares will be issued. In addition, cornerstone investors have pledged €70.0 million, which corresponds to 8,928,570 new shares at that maximum price. Once the final amount raised has been determined, cornerstone investors will receive their shares first, after which the coordinators and global coordinators will distribute the remainder. At least 30 per cent of the new shares, meaning at least 6,887,755, will be set aside for retail demand. At most 70 per cent, or 16,071,430 shares, will be split between qualified and retail investors in line with overall demand. The final percentages will take into account demand from qualified investors, the number of retail applications and the need for an adequate free float.

Controlled by companies linked to Evangelos Marinakis, the firm is carrying out what is described as Greece's first maritime IPO whose shares are listed exclusively on Euronext Athens. It is presented as the first concrete step towards turning Athens into a major global shipping hub. The €250 million sought will be used to finance the company's shipbuilding programme and meet its working capital needs.

Once all vessels have been delivered, the fleet will consist of 36 container ships, of which 13 are in service and 23 are under construction. Assuming all deliveries are completed, the TEU-weighted average age of the fleet as of 30 September 2026 will be only 0.5 years. Contracted revenue stood at $3.9 billion on that date, with an average remaining charter term of 9.4 years.

The capital expenditure programme to 2028 totals $1.8 billion, of which $1.6 billion was already covered by bank financing as of 30 June 2026. The remainder is expected to be funded organically from net IPO proceeds and operating cash flows. Management also intends to pay quarterly dividends based on adjusted net profit, with distributions expected to begin in the first quarter of 2027.

The wider Capital Maritime Group currently controls 179 vessels, including those under construction. It is also present on the New York, Oslo and Athens exchanges through two listed companies with a combined market value of more than $4 billion.
